Summary Information on Sale of Shares

Access Capital Services S.C. offers 10,000 Registered Ordinary Shares For  private placement

The aim of the offer is to increase the equity capital and thus the deal flow, bringing economies of scale and synergies in the investments. The Share Offering is targeted at institutional and experienced investors, both by presentation of this Private Placing Memorandum and through individual meetings, where requested.

Existing shareholders have a preferred right, in proportion to their holdings, to allotment of the shares issued in the Share Offering in terms of the Commercial Code of Ethiopia (Art 345). This right is to buy shares at the same price as new shareholders, being the offer price of Birr 5,000 per share. Existing shareholders are being contacted directly and given the opportunity to exercise their preferred right. The minimum purchase for existing shareholders is 10 shares. (Birr 50,000).

Subscribers are advised to read the Private Placement Memorandum, and, for any query they may have, to seek clarification from Access Capital or from their professional advisers (lawyers, accountants, etc.).

An Application Form (different for individual and for corporate applications) is attached at the end of this Prospectus. Subscribers may obtain the form from our office or our sales agents. Each share costs Birr 5,000, plus a service charge of Birr 150 per share (equivalent to 3%).

There is a share account at Zemen Bank, ACCESS CAPITAL SHARE OFFER, details are in the Private Placement Memorandum. No application will be accepted unless a correctly completed form and copy of the bank deposit slip has been received at our offices on or before... (Date TBD) .
